The Program's Terms And Conditions
Background
This Terms and Conditions (the “Agreement”) is a legally binding contract between you (the “Participant”) and LTP Brain Based Coaching (Janine Giannini’s company) and covers the purchase of the Courses, 1:1 Sessions and Private Mentorship Bundles referred to below. In this Agreement, “LTP Brain Based Coaching” and “Janine Giannini” are referred to interchangeably as Janine is the creator and Facilitator of all courses and Bundles owned by her company. Please read this Agreement carefully and contact [email protected] if you would like to discuss any aspect of this Agreement. By using this website and by proceeding to make any purchase, you are agreeing with this policy and acknowledging you are legally capable of entering into binding contracts and you are at least 18 years old.
Fees And Payment
All program fees are as advertised on the website. Program fees are subject to change at any time and the website will be updated accordingly with new pricing. Payment plans are available upon application. An approved payment plan is by recurring direct debit from a nominated credit card over an agreed term
Late Payments
If you invest with LTP Brain Based Coaching and/or Janine Giannini using a multi-pay or payment plan you are responsible for completing your monthly payments. If your credit card lapses, access to the course and or sessions will be suspended immediately. We will reach out to you and give you a 7-day grace period to send us your new information. If payments recommence within the grace period, access will be reinstated. If you do not get your information and payments up to date during that grace period access to courses or remaining sessions in the case of private mentorship bundles will be permanently forfeited due to the importance of group cohesion, creating a safe space and group participation in the course or in the case of private mentorship bundles the limited space made available to participants cannot be held without payment.
Refund Policy
You understand and agree: There is no refund for change of mind for any course or 1:1 sessions or private mentorship bundles referred to in this Agreement. Discovery calls may be used by you to ascertain good fit before making other purchases. You remain liable for the remainder of any course/private mentorship bundle or session fee regardless of whether you paid in full or by payment plan. Your commitment to your success and completion of your selected purchase is required to gain maximum results.
A 7 day money back policy is in place on the Neural Network Course only. The participant must email LTP Brain Based Coaching and in writing request such money back guarantee within the 7 day grace period. There will be no money back guarantee once the course has started even if the purchase is within 7 days as you would have access to materials and other information. Administrative costs will be incurred as below on all refunds/money back transactions.
Any and all money back transactions or refunds will carry an administrative fee of 100 USD. Failure to pay at any time is a breach of this Agreement.
Please review our terms of purchase and refund policy as by purchasing from our Company you agree to be bound by those terms.
Account Status:
If your account is in arrears or not in good standing for any reason, then any special offers, flash sales, deals, bonuses, gifts with purchase, coupons, discounts and incentives are not available for use.
Online Registration, Course Portals and Password Security and Technology Items
You must register your details to access the 1:1 coaching sessions or bundles and/or course content in the online portals and registration forms provided. You are responsible for ensuring the details you provide are correct and current. Your password will be emailed to you in your welcome email.
We will use the information you provide in accordance with the Privacy Policy. By registering you represent and warrant that all information that you provide is current, complete and accurate to the best of your knowledge. You agree to maintain and promptly update your information on the Websites so that it remains current, complete and accurate. If you provide any registration information that is untrue or inaccurate, not current, or incomplete, or if LTP Brain Based Coaching, suspects that your registration information is untrue, inaccurate, or incomplete, then LTP Brain Based Coaching, may, in its sole discretion, suspend, terminate, or refuse future access to any future purchases. The participant is liable for maintaining the secrecy and security of any personal or user account Information.
You are responsible for obtaining and maintaining all of your own connectivity, computer software, hardware and other equipment needed for access to 1:1 sessions, private mentorship bundles and courses. LTP Brain Based Coaching is in no way liable for lack of participation or access in any purchase due to lack of connectivity, software problems or equipment failure.
LTP Brain Based Coaching will not be held responsible if the website, network or host platforms go down due to circumstances beyond our control. LTP Brain Based Coaching will not be held liable to you or any other party because of malware, viruses or similar that may infect your or any other party’s equipment.
If anyone loans or discloses their username and password or otherwise knowingly or unknowingly allows unauthorized access into the fee-based products, the original site license holder shall be responsible for and will be billed for any and all purchases an unauthorized user makes on LTP Brain Based Coaching.
You are responsible and liable for any conduct on LTP Brain Based Coaching platforms and Websites or Social Media Interaction, under your user account. LTP Brain Based Coaching, is not responsible for any unauthorized use of your user account. If you believe there has been unauthorized use of your user account, you must notify Janine Giannini immediately on [email protected].
You agree that you will not circumvent, change or attempt to disable any security controls and measures of the 1:1 sessions, courses or programmes. You agree not to interfere with the proper working of any part of the website or materials provided. Not bots, additional downloads, or copies may be made other than a 1 single use of the materials provided.
Communication
You understand and agree: That communication for your purchases will be through your email and other electronic means as laid out in original communications and email with your purchase. It is your sole responsibility to check your electronic communication, any specific social media pages and notifications for communication, updates, uploads, date changes and similar.
With any private matters such as queries regarding the courses, accounts, or personal issues, please email [email protected]. Janine Giannini will endeavor to respond to communication within 72 hours during business hours, Monday to Friday.
You agree that we will communicate with you electronically in the above methods and that all agreements, communication, notices, changes and similar will satisfy any and all legal requirements for communication in writing.
Commitment And Conduct
By booking/ purchasing a course, programme, 1:1 sessions or private mentorship bundles you agree that you are committed to yourself and the journey for the duration of the course, bundle or session. You agree that it is your responsibility to watch the pre-recordings for courses and attend the group online sessions as well as prioritize your 1: 1 sessions and private mentorship sessions.
You acknowledge that make ups in any way cannot be granted due to not attending sessions, group sessions or courses late or not being able to attend regardless of the reasons for lack of attendance.
You acknowledge that your commitment includes completing requested workbooks, homework , information as well as participating in sessions, online group sessions and other platforms that are provided.
Commitment And Conduct
By booking/ purchasing a course, programme, 1:1 sessions or private mentorship bundles you agree that you are committed to yourself and the journey for the duration of the course, bundle or session. Single Session and Private Mentorship Session Booking Procedure and Rescheduling Terms
Choosing a coach should not be a hasty decision – it’s important to find a good fit. Making sure we’re a good match is important to me and will greatly benefit us both - which is why I offer a discovery call.
There are absolutely no refunds on Coaching. We have limited 1: 1 session spaces reserved. Once we have reserved space for 1:1 clients and because once we spend our time with you, or reserve time for you we can’t get it back.
Sessions not canceled/rescheduled 48 working hours in advance will not be eligible for make-ups, no exceptions. It is important that you prioritize this work to receive the full benefit of your coaching session/package.
All rescheduling is the client’s responsibility to action through the provided booking app.
No rescheduling is accepted via email/telephonic/WhatsApp or similar.
If for any reason the client does not use the full time allocated to the session the full session is still charged for.
No session will take place without payment in full prior to the session.
Sessions are not transferrable to another person or entity.
Dates, times of courses and sessions
The programmes of the courses will be provided and specified on the sales page or via electronic communication and shall be delivered by a combination of online group discussions, and pre-recorded lessons as detailed on the site.
We will provide you with as much notice of any change as is possible, but we shall not be liable to you in any way for any change to such dates or times. Please check the site/emails regularly for updates on changes to dates and times.
In the case of 1:1 sessions and private mentorship bundles the date and time of all sessions are booked per the booking system provided.
Confidentiality
All information shared in private 1:1 sessions with Janine Giannnini will be treated as strictly confidential unless required to do so by law. Information provided for booking and invoice management and similar will be managed as per the Privacy Policy
Privacy of information provided by the client in any group discussions, courses and social media usage cannot be guaranteed.
Disclaimer
Due to individual differences in response to information, processes, past experiences, commitment levels and other unforeseen factors no results from courses or 1:1 sessions can be guaranteed, and individual results may vary.
Intellectual Property And Copyright
LTP Brain Based Coaching and Janine Giannini are the owners of all materials on the websites, courses, programmes and sessions provided. This includes but is not limited to videos, call recordings, resource downloads, workbooks, logos and insignia or the licensee of all Intellectual Property Rights in the above mentioned. Nothing in these terms or otherwise shall operate to transfer the ownership of the Intellectual Property Rights for any materials of Janine Giannini to you or to any other person.
You may not at any time copy, reproduce, translate, distribute, post to other platforms, creatively modify, publish in any form, share, sell, dispose of or otherwise make available to a third party in any way any of the content or materials contained in the 1:1 sessions, courses, programs or any other purchase.
You acknowledge that you are given limited license to access provided information for private single and non-commercial use only.
You acknowledge that certain information contained in courses, programmes or 1:1 sessions is already in the public domain.
No Solicitation Policy
In order to provide a safe, focused and distraction free environment, LTP Brain Based Coaching has a strict no-solicitation policy covering all of our courses, social media platforms, 1:1 sessions, whatsapp groups, zoom meetings, group discussions or similar.
This policy includes but is not limited to the following unauthorized activities.
Prohibited Activities:
- Membership recruitment activities outside of LTP Brain Based Coaching
- Subgroups on social media platforms (including WhatsApp) not created by LTP Brain Based Coaching
- Sale of any product or service not offered by LTP Brain Based Coaching
- Promotion of non-LTP Brain Based Coaching products and offerings
- Employment recruiting
- Unwelcome advances toward other course and group participants
- Unauthorized distribution of invitations and materials including literature, signs, flyers, invitations, tickets, forms, etc.
Any person and/or organization found to be violating this policy shall be expelled from the course and future purchase of products without a refund and may be subject to legal action for any damages incurred by Us.
You are not permitted to record or go ‘live’ on social media during courses or 1:1 sessions for reasons of confidentiality and respect for others, other attendees, and any LTP Brain Based Coaching team member.
Changes to Terms.
These Terms, or any part thereof, may be modified by us, including the addition or removal of terms at any time, and such modifications, additions or deletions will be effective immediately upon posting. Your use of the Websites or making purchases after such posting shall be deemed to constitute acceptance by you of such modifications, additions or deletions.

We may change or discontinue any aspect, service or feature of the Websites at any time, including, but not limited to, content, availability, and equipment needed for access or use.

Medical Disclaimer
Janine Giannini is a Registered Counsellor in South Africa and coach globally, not a psychologist, physician, psychiatrist, or medical professional. I’ve been trained to provide guidance, emotional support and encouragement and use certain processes. I can’t diagnose illnesses. No 1:1 sessions, courses or coaching is a substitute for a licensed Registered Psychologist, Doctor or medical advice.
Jurisdiction
This Agreement is governed by and shall be construed in accordance with the laws of South Africa without regard to its principles of conflicts of law. In the event of a dispute arising under or relating to this Agreement, the Site or the Materials, you agree to the exclusive jurisdiction of the federal and state courts located in the Country of South Africa and waive any jurisdictional, venue, or inconvenient forum objections to such courts. The site is controlled and operated by LTP Brain Based Coaching. from its principal office in Sandton, South Africa, and is not intended to subject LTP Brain Based Coaching, to the laws or jurisdiction or any state, country, or territory other than that of Gauteng, South Africa.
LTP Brain Based Coaching does not represent or warrant that the Site, or any aspect thereof, are appropriate or available for use in any particular jurisdiction. Those who choose to access the Site at their own risk and are responsible for complying with local laws. We may limit the availability of the Site to any person, geographic area, or jurisdiction we choose, at any time in our sole discretion.
If any provision of this Agreement is found for any reason to be unlawful, void, or unenforceable, then that provision will be deemed severable from this Agreement and will not affect the validity and enforceability of any remaining provision. Any heading, caption or section title contained herein is inserted only as a matter of convenience, and in no way defines or explains any section or provision hereof. A party’s failure to insist upon or enforce strict performance of any provision of this Agreement shall not be construed as a waiver of any provision or right. This, together with any of our policies referred to herein, constitutes the entire Agreement between you and LTP Brain Based Coaching, relating to your use of the Site; this Agreement supersedes any and all prior or contemporaneous written or oral Agreements between you and LTP Brain Based Coaching, regarding the same subject matter (except other written, fully-executed contracts between you and us). Neither the course of conduct between you and us, nor trade practice, shall act to modify any provision of this Agreement.
If any provision of this agreement is invalid or unenforceable under applicable law, the remaining provisions will continue in full force and effect, and the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
These Terms of Use constitute the entire agreement between you and us regarding the Website and supersedes any prior or contemporaneous agreement regarding that subject matter.
By purchasing any item, product from this website, you acknowledge and agree to be bound by the terms and conditions set forth in this agreement as well as the Terms of Purchase and Refund Policy and Privacy Policy. If you do not agree to these Policies, please do not purchase anything and don’t enter into any transaction with us.

We reserve the right at any time, at our sole discretion, to change or otherwise modify these Terms without prior notice; however, the date of any effective changes shall be reflected at the bottom of this page and upon request we will provide you with information regarding any changes made.
